1 Scope of Application

These General Terms and Conditions (GTC) apply to all offers, contracts, and services provided by Stefan Santifaller, Albeins, Dorfgasse 10, 39042 Brixen, Italy – hereinafter referred to as “Contractor” – to his clients (“Clients”). They cover activities carried out within the registered professional practice as a freelance photographer and creative service provider under applicable Italian law (Regime Forfettario – Codice ATECO 74.20.19 “Other specialized photographic activities”). These particularly include:

the creation, editing, and provision of photographic and videographic content,
the artistic and conceptual development of visual projects,
the design and execution of communication, branding, and campaign projects in connection with photographic or artistic work,
the use, publication, and presentation of these works in exhibitions, online, and print media,
accompanying creative services such as lectures, workshops, keynotes, or artistic collaborations, provided they are directly related to photographic, artistic, or creative work.

Individual agreements between Contractor and Client take precedence if confirmed in writing.

2 Conclusion of Contract

A contract is concluded by written confirmation of the offer (e.g., by e‑mail). By accepting, the Client agrees to the terms and these GTC.

Offers are valid for 30 days unless otherwise stated.

3 Scope of Services

The specific scope of services is determined by the respective offer or project agreement. Requests for changes after the project has started may result in additional work and will be charged accordingly or by agreement.

The Contractor reserves artistic and conceptual freedom in the execution of his work. This freedom is part of the commissioned service.

4 Payment Terms

Unless otherwise agreed, the following payment terms apply:

• 50 % deposit upon confirmation of the order (due within 7 days from invoice date).
• 50 % final payment upon completion of the project or service delivery (due within 14 days).

All prices are stated net, unless explicitly indicated otherwise. In accordance with the Italian Forfettario tax system, no VAT is charged.

In the event of delayed payment, the Contractor reserves the right to suspend further services until the outstanding amount has been settled.

5 Copyright and Usage Rights

All works, photographs, texts, concepts, and other creative services are protected by the copyright of Stefan Santifaller.

Clients receive – unless otherwise agreed – a simple usage right for the agreed purposes (e.g., corporate communication, website, social media, press work). Any further use, modification, or transfer to third parties requires written consent from the Contractor.

The Contractor may use works created within a project for his own purposes (portfolio, website, lectures, exhibitions, etc.), unless otherwise agreed.

6 Client Cooperation

For the success of a project, Clients are required to provide all relevant information, materials, and approvals in a timely manner.
Delays resulting from insufficient cooperation may affect the project schedule and, if necessary, lead to rescheduling.

7 Liability

The Contractor is only liable for damages resulting from intentional or grossly negligent behavior.
No liability is assumed for indirect damages, lost profits, or data loss.

The Contractor is not responsible for third-party rights – e.g., personality rights of depicted persons, property rights of locations, trademarks, or designs – unless explicitly agreed beforehand. Clients are responsible for obtaining necessary approvals or permissions (e.g., model release, property release). These regulations are industry standard.

8 Cancellation and Withdrawal

Cancellation by Clients is free of charge up to 30 days before project start. For later withdrawal, the following cancellation fees apply:

• 30–15 days before start: 25 % of the agreed fee
• 14–7 days before start: 50 % of the agreed fee
• from 6 days before start or no-show: 100 %

Services already rendered or costs incurred will in any case be invoiced.

Expenses, third-party costs, or preparation costs already incurred will be charged additionally. (This corresponds to the usual industry practice of “kill fees” for short-notice cancellations.)

In case of rescheduling due to weather, unforeseen circumstances, etc., the Contractor reserves the right to agree on an alternative date with the Client – cancellation fees do not apply if communicated in time.

9 Confidentiality

Both parties agree not to disclose confidential information obtained during collaboration to third parties. Any personal data collected or processed will be handled according to legal data protection regulations.

10 Final Provisions

Place of performance is Brixen, Italy. Italian law exclusively applies, excluding the UN Sales Convention. Should individual provisions of these GTC be or become invalid, the validity of the remaining provisions shall remain unaffected. In place of the invalid provision, a regulation shall apply that comes as close as possible to the economic purpose of the invalid provision.

By commissioning or accepting the offer, the Client declares to have read and accepted the GTC.
